National law firm TLT has acted for waste management company, Biffa, on its acquisition of the entire issued share capital of Eco-Power Green Energy Limited, a subsidiary of the Eco-Power Environmental group. 

Biffa is the UK leader in sustainable waste management, serving 95% of UK postcodes. As part of the transaction, Biffa will acquire a dormant pellet plant in Hull which transforms non-recyclable waste into solid recovered fuel (SRF) pellets.

TLT advised on all legal aspects of the acquisition. The team was led by corporate partner Alice Gardner, with support from Luke Thorngate-Davies, Jessie Cockhill, Lene Bray and Hugo Khan in the corporate team. The deal also involved cross-sector expertise with Andrew Ryan in the environmental team; Amy Collins in the employment team; Ellie Bennun in the property team; Emma Davies and Laura Smurthwaite in the commercial team; and William Ngan and Amy Thomson in the tax team.

Commenting on the deal, head of corporate finance and investor relations at Biffa, Paul Tillstone said: “This acquisition is an exciting opportunity for us to reduce the amount of waste going to landfill and increase our capabilities in the alternative fuels sector. This is the third corporate acquisition TLT have advised us on, and I would like to thank the team once again for their consistently excellent service.”

The sale joins TLT’s recent portfolio of deals intended to boost sustainability and shows the continued increase in investment towards a more circular economy. This includes TLT’s role in supporting the shareholders of telecoms engineering and asset management company Lynx UK Limited on the company’s sale to TXO.
