National law firm TLT has acted for FTSE 250 XPS Group - the leading consulting and administration business specialising in the pensions and insurance sectors - on its acquisition of Polaris Actuaries and Consultants Limited.
Polaris is a highly regarded provider of insurance, risk and regulatory consulting services, specialising in high quality actuarial and technical services to insurance clients in the UK, and supporting them on complex financial, risk, regulatory and actuarial change programs.
The complementary nature of the two companies means that this deal will create a significant opportunity for growth for XPS and will help to grow XPS’s insurance consulting business division. Polaris also offers XPS the advantage of immediate access to long term, trusted relationships with established Master Services Agreements with the majority of the UK's leading insurers.
TLT advised on all legal aspects of the deal, including legal due diligence and negotiation of all transaction documentation. The team was led by corporate partner Alice Gardner, with support from senior associate Hannah Ward, associate Irina Angliss and legal director Dan Whitewood. The deal also required cross-practice support from the firm’s tax, employment, commercial and pensions teams.

This is the second stand-out strategic transaction that TLT has advised XPS on after advising on the sale of the National Pension Trust in 2023
