TLT has leveraged its corporate expertise and strategic alliance with Dutch firm Holla to advise on the acquisition of Idox plc’s Grants Consultancy business by existing client SilverTree Equity Partners, a leading software and technology focused private equity firm.

Grants Consultancy is one of the Netherlands’ leading providers of innovation funding consultancy and data. Idox plc is an AIM-listed supplier of specialist information management software and solutions.

TLT advised SilverTree on the acquisition and commercial agreements with Idox, and co-ordinated all the legal workstreams. Holla ran the legal due diligence in the Netherlands and other local law requirements. 

The acquisition supports SilverTree’s strategy to acquire and grow businesses in the software, technology and tech-enabled business services sectors, particularly where there is an opportunity to consolidate the market. 

The TLT team was led by corporate partner Jon Gill, alongside legal director Dan Whitewood (corporate) and partners Daniel Lloyd (technology) and Mark Braude (tax). The Holla team included Robert van Muijen, Boris Emmerig and Alissa van Tongerloo.

TLT previously acted for SilverTree on its acquisition of Orbus Software in December 2020. 

In June 2020, TLT agreed a strategic alliance with Holla as part of a strategy to strengthen its international offer for clients. In January 2021, Belgian firm GSJ advocaten joined the alliance.
