TLT has advised multi-disciplinary professional services firm, and long-standing client, K3 Capital Group on its acquisition of business management software solutions specialist, Pinnacle Computing.
Pinnacle is the UK’s biggest reseller of Sage ERP and accounting systems into the SME market, providing innovative software solutions to companies in the manufacturing, distribution, construction and business services sectors.
The deal will add a fourth division, technology solutions, to K3’s existing offering which comprises company sales, tax and restructuring and will help consolidate its status as a market leader in the professional services sector.
TLT advised on all legal aspects of the acquisition, including legal due diligence. The deal was led by corporate partners Ian Roberts and Elizabeth Delaney, assisted by senior associate Seraphina Wilkins-Tolliday, and involved cross-practice expertise from the IP and technology, tax, commercial, employment, pensions, data protection and real estate teams.
TLT also worked alongside its Irish partner firm ByrneWallace on the transaction.

This is the latest in a series of acquisitions TLT has supported K3 on in recent years. These include advising on the acquisition of HMA Tax in 2024, Chamberlain & Co in 2023, Professional Insight Marketing in 2022, Knight Corporate Finance Group in 2022, InTAX in 2021 and Quantuma and randd in 2020.
