TLT advises majority shareholders of AI fintech company on sale to AutoRek
TLT has advised the majority shareholders of Grath, an AI-powered reconciliation and regulatory compliance fintech, on its sale to AutoRek - a leader in enterprise financial controls and reconciliation automation.
Grath is a London-based reconciliation and regulatory compliance technology company, founded in 2019, serving banks, payment providers, brokers and fintechs from offices in the UK, UAE and Australia.
The acquisition by AutoRek brings together two complementary fintech businesses to create an enhanced reconciliation, risk and compliance offering for financial services organisations, as demand for AI-enabled solutions continues to grow across the sector. It will also give customers a single partner able to meet a broader range of needs across the full reconciliation lifecycle, from data ingestion and matching through controls, risk and compliance management. The transaction also supports AutoRek's international growth ambitions, expanding its presence in key markets including the US and UAE through Grath's established customer base and operations.
TLT advised the majority shareholders of Grath, and provided full transactional support throughout the sale process. The team was led by Corporate Partner Philip Barratt and Senior Associate James Crotty, supported by Sophie Pearson (Corporate Apprentice), with further advice coming from Mark Braude, Partner and Olivia Curtis, Associate in the Tax team and Tom Hasoon, Managing Associate in the Employment team.
Philip Barratt, Partner at TLT, said: "This transaction highlights two key trends we are seeing across the fintech and wider financial services sectors. Organisations continue to invest heavily in AI-enabled technologies that can drive efficiency while supporting regulatory compliance. At the same time, we are seeing increasing consolidation as businesses look to combine complementary capabilities and create more comprehensive solutions for customers.
"The deal is also an excellent example of our skill supporting a transaction in a highly regulated area of financial services with intersecting technology, reconciliation, risk management and compliance factors to consider."
Matt Povey, CEO of Grath, added: "Financial services is at an inflection point. Institutions no longer want to choose between robust enterprise controls and the speed of AI-led innovation, and now they do not have to. Whether customers want a dedicated deployment, a SaaS solution live in hours, or embedded agentic infrastructure, they can now adopt any model within a single governed framework.
"TLT provided excellent support throughout the transaction, combining strong technical expertise with a commercial and pragmatic approach. Philip, James and the wider team worked seamlessly alongside us to help deliver a successful outcome."
