TLT advises McCarthy Marland on sale of waste management business

TLT has advised McCarthy Marland Limited on the sale of its waste management operations in Oxfordshire, including the associated assets and waste transfer station site in Wantage, to Smiths.

McCarthy Marland is an independent and fully licensed waste management company providing waste recycling services across the South West including Bristol and Bath, Gloucestershire, Somerset and parts of Wiltshire.

The transaction sees McCarthy Marland's waste transfer station in Wantage and its associated collection operations transferred to Smiths (Gloucester) Limited – a family-owned business which is one of the largest construction and waste management companies serving Bristol Gloucestershire, Wales and Oxfordshire.

TLT provided legal support across all aspects of the transaction, including the sale of the business and assets, property matters relating to the Wantage waste transfer station, and banking and finance considerations.

TLT previously advised McCarthy Marland on the multi-million pound acquisition of Hughes and Salvage, enabling major expansion, back in 2022.

The multidisciplinary TLT team was led by Corporate Partner James Webb, supported by Managing Associate Luke Thorngate-Davies and Associate Isabel Evans. The real estate aspects of the transaction were led by Partner Edward Pitt, working alongside Managing Associate Ellie Bennun and Associate Emma Barrow, while banking and finance support was provided by Managing Associate Oli Swain, Senior Associate Beth Fogerty and Associate Georgie Kirby.

James Webb, corporate partner at TLT said: "Having advised McCarthy Marland at previous significant moments in its history, it was great to work with them again, as they begin a new journey. From a wider perspective, the waste management and recycling sector continues to see strong levels of activity as businesses seek to invest, consolidate and respond to evolving market demands.

"This transaction further demonstrates the strength of TLT's cross-disciplinary team and our ever-growing experience advising businesses across the waste and recycling sector. We continue to support clients on a broad range of strategic transactions and are pleased to have helped deliver a successful outcome for McCarthy Marland."

Alex Marland, director at McCarthy Marland Limited, added: "We are delighted to have found such a strong new home for our Oxfordshire operations in Smiths, a well-established family business with an excellent reputation in the industry.

"Having worked with TLT previously over the years, we knew we could rely on their deep understanding of our business and objectives. Their collaborative approach and seamless coordination across corporate, real estate and banking disciplines played a key role in delivering a successful outcome."

The transaction continues TLT's strong track record supporting businesses operating across the waste and recycling sector and follows the firm's recent work advising on the sale of waste recycling business PMG Services earlier this year. In recent years, the firm has also advised leading independent waste company, Sortera, on the acquisition of Reston Waste; and Biffa – the UK leader in sustainable waste management – on a series of strategic acquisitions including the entire issued share capital of Eco-Power Green Energy Limited; Darlington-based industrial waste and hazardous material specialist, Total Recycling Services (TRS); and a £10 million acquisition of Scotland’s only post-consumer plastics recycling facility.
