TLT advises shareholders of PDC Group on sale to legal services platform

UK national law firm TLT has advised the shareholders of PDC Group on its sale to Canford Law, a legal services platform backed by private equity investor Queen's Park Equity (QPE).

Founded more than 30 years ago, PDC Group has established a strong reputation as a specialist debt recovery, litigation and legal services business. The acquisition marks an important milestone in the group's growth journey and provides access to additional investment and resources to support its next phase of expansion.

The transaction also forms part of QPE's strategy to build a scaled legal services platform, reflecting continued investor interest in specialist legal and professional services businesses with strong growth potential.

TLT acted as lead legal adviser to shareholders Joe Tona, Reece Wheeldon and Dominic Cassidy throughout the transaction, advising on all aspects of the sale process, including negotiation of the share purchase agreement and ancillary transaction documents, due diligence and disclosure processes, tax considerations and real estate matters.

The multidisciplinary TLT team was led by Partner Ian Roberts and Managing Associate Seraphina Wilkins-Tolliday, supported by Associates Harry Jenkins and Jessica Bulleid and trainee Molly Cohen. The Corporate team worked closely with specialists from TLT's Tax, Real Estate and Regulatory teams to deliver an integrated service across all workstreams.

Reece Wheeldon, on behalf of the shareholders of PDC Group, said: "The sale of PDC Group marks an exciting new chapter for the business and creates significant opportunities for future growth. Throughout the transaction, the TLT team provided clear, commercial advice and worked closely with us to navigate a complex process involving multiple stakeholders and workstreams. Their collaborative approach and commitment to achieving the right outcome for the shareholders were invaluable in helping us successfully complete the deal."

Ian Roberts, partner at TLT, commented: "Having built a highly respected business over more than three decades, Joe, Reece and Dominic have created a strong platform for future growth. It was a pleasure to support them on this important transaction, and we look forward to seeing the business continue to thrive as part of the Canford Law platform.

"This transaction reflects several wider trends across the UK mid-market, including the continuing appetite from private equity investors for high-quality legal and professional services businesses with specialist expertise, strong market positions and clear growth potential, ongoing consolidation within fragmented sectors, and growing demand for scalable, technology-enabled service delivery models."
