Our corporate tax team provides user friendly tax advice to national and international corporate groups, management teams, owner-managers, entrepreneurs, partnerships, joint ventures and private equity firms.
We advise clients on all UK taxes including corporation tax and indirect taxes such as VAT and stamp taxes.
We work closely with our specialist colleagues in corporate, real estate, construction, banking and insolvency and employee incentives to deliver a co-ordinated and comprehensive service from the initial structuring advice to the final execution of documents.
Particular strengths are advising on the corporate tax aspects of:
- company/business acquisitions and disposals, including structuring and exit planning;
- partnerships and joint venture arrangements;
- owner-managed businesses;
- corporate restructurings (including debt), demergers and group reorganisations;
- employee incentive arrangements;
- insolvency and company turnaround;
- transactions involving public sector bodies and charities;
- private equity funded businesses and EIS/SEIS funds; and
- UK inward investment structures.
These strengths and our sector specialisms have allowed the team to develop niche tax experience in selected areas, such as housing and public sector, renewables, retail and leisure and banking and insolvency.
Our aim is to enable clients to make informed decisions to progress their business transactions in the most appropriate and tax efficient way, secure in the knowledge that we will manage the tax risks throughout the process.
Experience
- Advising on EIS and VCT aspects of a £3.6m private equity investment for global manufacturing pioneer, Dymag, including applying for and successfully obtaining clearance from HMRC.
- Working with the in-house tax team at WH Smith in dealing with the transaction documentation and related due diligence issues on the purchase of Cult Pens, the 'go to' online pen shop.
- Advising Peabody Trust and its subsidiary Peabody Enterprises on ways to mitigate their stamp duty land tax liability for the acquisition of 110 shared ownership units from Bellway Homes.
