Henry’s experience as a chartered accountant in the City combined with years working in private M&A and reorganisations makes him almost uniquely well placed to understand clients’ concerns and motivations in these processes, and to avoid the inevitable pitfalls that arise in implementing complex plans.
This type of work requires an appreciation of and an ability to work with advisers in tax, accounting, other (non-corporate) legal specialisms; and insolvency. These are the areas where Henry’s knowledge gives him an edge over most other legal advisers, and enables him to challenge advice, and to link the different pieces of the puzzle. He specialises in corporate reorganisations - these happen for a number of reasons rationalisation: reducing the number of entities and simplifying structures; ring fencing: separating out assets of different types and qualities; post-acquisition integration; and pre-transaction demergers and carve-outs.

- Pre-transaction demerger of a specialist recruitment business from a wedding venue business via capital reduction demerger
- Pre-transaction demerger of a software business from a loan portfolio and a real estate portfolio via a capital reduction demerger in parallel with a £100m+ disposal
- Merger of family owned property and construction businesses followed by rationalisation and a restructuring in order to manage potential Inheritance Tax liabilities
