TLT advises on rescue of two endangered UK zoos

National law firm TLT has advised the Dutch leisure firm Libéma on its proposed acquisition of Paignton and Newquay zoos, playing a vital role in the survival of two beloved UK visitor attractions.

The two zoos, which opened in 1923 and 1969 respectively, were put up for sale in September after financial pressures forced previous owners – Wild Planet Trust – to seek a buyer.

Libéma brings a wealth of experience in managing commercially successful attractions across the Netherlands, boasting a portfolio which includes the country’s most visited wildlife attraction and resort, alongside three additional zoos. Its acquisition of Paignton and Newquay zoos marks its first foray into the UK market.

The acquisition secures a future for the two zoos, and for over 3,000 animals, including 180 species at high risk of extinction, such as the critically endangered Sumatran Tiger. It will also ensure the continuation of the zoo’s vital conservation, breeding and educational work. Although the two zoos will no longer operate as charities, Wild Planet Trust will continue as a separate charity focused on conservation work.

TLT advised Libéma on a full suite of challenging commercial, real estate and licensing issues. The team was led by Corporate Partner Alice Gardner and Restructuring Partner Alastair Lomax, with support from Hatti Burge, Senior Associate and Henry Male, Legal Director. The deal also required cross practice support from teams across the firm, including Real Estate; Licensing; Employment and Pensions; Regulatory and Tax.

Alastair Lomax, Partner at TLT said: “We feel incredibly privileged to have been involved in this transaction. Newquay Zoo, Paignton Zoo and their “residents” are much loved by their local communities and their many visitors from further afield.  There’s no doubt that the work undertaken by the zoos and their dedicated staff has delivered major contributions to vital conservation work over many years.  We’re delighted to have helped to secure the future for the zoos and are excited about Libéma’s plans to invest in these vital community assets.

“This transaction involved the full breadth of TLT specialist capabilities to deliver this outcome – from experts in charities law to complex real estate and licensing matters – all working in close collaboration with the Libéma team based in the Netherlands.

“Congratulations to all involved.  We (and our families) can’t wait to visit and to see what comes next.”

Dirk Lips, Chief Executive Officer of Libéma added: “Under our ownership, both zoos are set to thrive well into the future, and we already have plans for ambitious new developments for visitors to look forward to.

“Partnering with TLT, a firm renowned for its national and international reach and transactional and regulatory depth, has ensured our first venture into the UK market is a positive one. We look forward to working together to see this through to completion.”
