We advise clients on the UK and EU merger control aspects of large transactions; preparing notifications and regularly dealing with the appropriate authority to secure clearance.
We have published guidance for specific sectors, for example in relation to the automotive retail sector, where the nature of the affected markets is such that the application of UK merger control rules has the potential to capture much smaller acquisitions.
We advise a wide range of clients, ranging from FTSE listed groups to privately owned businesses.
In addition to securing merger clearances, we believe in offering pre-emptive guidance. This means that businesses unfamiliar with the process know what to expect and can factor the resource, cost and timing implications of the merger notification process into their corporate planning.
Experience
- Advising Francis Flower on its acquisition by LKAB Minerals which was subject to phase 1 Austrian merger control clearance. TLT's in-depth knowledge of the sector and the target business meant that we drafted much of the substance of the notification, which in due course was cleared at phase 1.
- Advising Inchcape Plc on the merger control (Enterprise Act 2002) and restrictive covenant aspects of a range of UK retail acquisitions and disposals.
- Advising a global travel company in connection with UK and EU merger control analyses on several potential acquisitions.
