TLT supports Kinetics Controls and Innovation (KCI) on transfer to Employee Ownership

The transfer to employee ownership will allow the company to uphold its culture, shared vision and values, whilst also protecting its employees and commitments to delivering an outstanding service to its customers. The transfer will also support the businesses next steps in its journey of growth.

TLT’s corporate team provided legal advice on all aspects of the transfer of shareholding, guiding the founder, Roy Mackenzie, and managing director, Kevin Watt, through the process from start to completion. The transfer was led by corporate partner Douglas Roberts, with support from senior associate Nimarta Cheema and associate Faye Saunders.

Kevin Watt, managing director at KCI commented: “Through this transfer we can empower our team to continue to deliver the same quality our customers have always received when working with KCI, while reinforcing a desire for the company's continued success. A business structure designed to promote collective responsibility will also benefit our customers - a more collaborative workforce provides a strong focus on delivering quality services, motivating employees to deliver for our customers.

“TLT went above and beyond to support us during the deal. The team’s understanding of the employee ownership model was extremely impressive and reassured us that this was the right process for us.”

Douglas Roberts partner at TLT said: “It was a pleasure to support the team at KCI on their move to employee ownership.  It was clear to us from our first conversation that employee ownership was ideal for the business.  We look forward to hearing from Kevin and his team in the future on how employee ownership has helped the company and its employees.

“We have noticed an increase in interest in EOTs, driven by shareholders and owners wanting to ensure a stable and profitable future for their businesses, as well as security for their employees. EOTs are a great way to ensure a company’s values and cultures are maintained and thrive.  In addition, we have also found that EOTs increase employee engagement and support the growth and development of the business."
