Our Construction team has a thorough understanding of the operational and practical issues particular to maintenance contracts, such as key performance measurements regimes, payment mechanisms and term contracting.
We act for clients who provide or require property maintenance and management services.
We've prepared and negotiated numerous framework arrangements for hard and soft facilities management contracting - major national public sector service contracts such as the defence estate, housing maintenance and repair contracts for social housing providers and maintenance agreements for commercial offices.
We act for the country's leading property service company, a global real estate services provider in its contract arrangements for property management and maintenance service provisions throughout the UK.
We've pioneered with clients innovative forms of property management contract, with a view to maintaining service quality but reducing cost. For example, we devised a unique integrator service provider model framework for a major public sector client with a substantial London based estate.
We prepare and negotiate service contracts, framework arrangements and interface agreements. We're familiar with the industry standard forms such as JCT MTC, NEC3 Term Service Contract and TPC 2005 and also have a great deal of experience in dealing with bespoke agreements, prevalent in property management arrangements.
Our risk reviews highlight areas of potential concern and suggest practical ways in which risks can be mitigated.
We've also represented facilities management contractors and local authorities in adjudication, arbitration and TCC litigation.
We work for a broad spectrum of providers in the sector, giving us unique insight and experience that makes us more aware than most of acceptable market practice and risk allocation, which allows us to advise clients on appropriate risk allocation.
Our experience in dealing with facilities management contracting disputes allows us to identify potential pitfalls and resolve these at contract stage, in order to avoid disputes later down the line.
Experience
- Advising a large commercial bank on the funding of a 500KW AD plant at a food manufacturer's premises, including drafting the funding documents and conducting detailed due diligence on the construction and operational/maintenance contracts.
- Advising a FTSE 100 FMCG business on the outsourcing of its global recruitment processes and its European facilities management and asset maintenance for manufacturing facilities in seven jurisdictions across Europe.
- Advising Triodos on construction and operation finance for wind farm projects, including negotiating property and banking documentation, turbine and maintenance contracts.
